ANNUAL REPORT

(Year Ending December 31, 2024)

BROOMFIELD TOWN SQUARE METROPOLITAN DISTRICT NOS. 1 and 2 (the

“Districts”)

Pursuant to Section 32-1-207(3)(c), C.R.S., in the form prescribed by the City and County of Broomfield, the Districts hereby submit the following information and attachments.

A.                Board of Directors

A listing of the Districts’ Boards of Directors and General Counsel is attached as Exhibit A. The Boards of Directors met on the following dates and times in 2024: October 22, 2024 at 2:00 p.m. via Zoom.

B.                 District Boundaries

There were no boundary changes made during 2024.

C.                Intergovernmental Agreements entered into or terminated

No intergovernmental agreements were entered into or terminated during 2024.

D.                The Districts’ Policies and Operations / Access information to obtain a copy of rules and regulations adopted

The Districts have not adopted any rules and regulations as of December 31, 2024. In the event the Districts adopt such in the future, they may be accessed at the offices of McGeady Becher Cortese Williams P.C., 450 E. 17th Ave., Suite 400, Denver, Colorado 80203, or on the Districts’ website: https://md.broomfieldtownsquare.net/.

E.                 Summary of litigation involving the Districts’ public improvements

To our knowledge, the Districts were not involved in any litigation in 2024.

F.                 Status of the Districts’ construction of public improvements

There were no public improvements completed during 2024.

G.                Conveyances or dedications of facilities or improvements, constructed by the Districts, to the City and County of Broomfield

No facilities or improvements, constructed by the Districts, have been conveyed or dedicated to the City and County of Broomfield.

2.                  Debts: The Districts have not issued any debt to date.

I.                   Notice of any uncured events of default by the Districts, which continue beyond a ninety (90) day period, under any debt instrument

To our knowledge, there are no uncured events of default by the Districts which continue beyond a ninety (90) day period.

J.                  Any inability of the Districts to pay their obligations as they come due, in accordance with the terms of such obligations, which continues beyond a ninety (90) day period

To our knowledge, the Districts have been able to pay their obligations as they come due.
